Your Relationship with DealLink: You acknowledge and agree that DealLink is not and does not become a party to, or other participant in any contractual relationship between a Buyer and Seller. Further, You acknowledge and agree that no joint venture, partnership, employment, or agency relationship exists between You and DealLink as a result of the Agreement or Your use of the Website.

Your Account: Only individuals who are eighteen (18) years of age or older may create an account and transact on the Website. By transacting on the Website, You affirm that You are 18 years of age or older. You are prohibited from allowing third parties to use Your account without written permission from DealLink. If You are registering a DealLink Account for a business, organization or other legal entity, You represent and warrant that You have the authority to legally bind that entity. You are responsible for maintaining the confidentiality of Your account and You agree to indemnify, defend, and hold harmless DealLink for losses incurred by DealLink or another party due to any use of Your account by a third party. You agree to notify Us immediately if You become aware or suspect that any third party is using Your account. DealLink reserves the right to block access to the Website for any reason.

Account Information: When You create an account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so may result in termination of Your account. You are responsible for safeguarding the password that You use to access the Website and for any activities or action under Your password, whether Your password is with DealLink or a third-party service. Subscriptions: Many parts of the Website are available only with a paid subscription. You will be billed in advance on a recurring and monthly basis. At the end of each period, Your subscription will automatically renew under the same conditions unless You cancel it or DealLink cancels it. You may cancel Your subscription renewal either through Your My Account page or by contacting DealLink. You will not receive a refund for the fees You already paid for Your current subscription period and You will be able to access the Website until the end of Your current subscription period. You shall provide DealLink with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method. Should automatic billing fail for any reason, DealLink will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice. 

Fee Changes and Refunds: DealLink, in its sole discretion and at any time, may modify the subscription fees. Any subscription fee change will become effective at the end of the then-current subscription period. DealLink will provide You with reasonable prior notice of any change in subscription fees to give You an opportunity to terminate Your subscription before such change becomes effective. Your continued use of the Service after the subscription fee change comes into effect constitutes Your agreement to pay the modified subscription fee amount. Except when required by law, paid subscription fees are non-refundable. 

Intellectual Property: The Website, and any information and materials created by DealLink contained therein, including but not limited to graphics and editorial content, are owned by DealLink and/or its licensors, and are protected by copyright, trademark, patent, trade secret, and/or other laws.

Data on the Website: The Website provides data to You from publicly available sources. Although We would not knowingly deliver to You inaccurate or incomplete Data, some Data may not always be accurate or complete. You should exercise great care in using the Data provided on the Website or available through links from the Website. SEC Compliance: DealLink seeks to exclude non-control investment opportunities from our Website. In the event a non-control investment results from a DealLink listing, it is the broker-partner's responsibility to ensure SEC compliance. You understand that DealLink (a) is not a registered broker dealer, does not offer investment or fundraising advice, and does not make recommendations that any investor make any particular investment or that any company offer any securities (b) does not negotiate or execute securities transactions (c) does not receive compensation in connection with the purchase or sale of securities, and (d) is not a crowdfunding platform. You understand the listing owner of an investment post is required to be in compliance with an exemption under federal and state securities laws as a Reg D Form 506(c) offering or registered as a private offering with the SEC and not disqualified under the Bad Actor Rule. Limitation of Liability: EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW, IN NO EVENT SHALL DEALLINK OR ANY OF ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, INDEPENDENT CONTRACTORS, AND/OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, PUNITIVE, OR ANY OTHER DAMAGES, FEES, COSTS OR CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT OR ANY DEALLINK SERVICES, REGARDLESS OF WHETHER DEALLINK HAS HAD NOTICE OF THE POSSIBILITY OF SUCH DAMAGES, FEES, COSTS, OR CLAIMS. THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR PRODUCTS, OR ANY OTHER INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR OTHER DAMAGES. THIS LIMITATION OF LIABILITY SHALL APPLY FOR ALL CLAIMS, REGARDLESS OF WHETHER DEALLINK WAS AWARE OF OR ADVISED IN ADVANCE OF THE POSSIBILITY OF DAMAGES OR SUCH CLAIMS. SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU AND YOU MAY HAVE ADDITIONAL RIGHTS.

Dispute Resolution by Mandatory Binding Arbitration and Class Action Waiver: YOU AGREE TO USE ARBITRATION AS THE SOLE AND EXCLUSIVE MEANS TO BRING ANY CLAIM OR TO RESOLVE ANY DISPUTE. YOU UNDERSTAND THAT BY AGREEING TO THE FOREGOING YOU ARE GIVING UP THE RIGHT TO FORM OR BE A PART OF A CLASS ACTION OR OTHER REPRESENTATIVE LAWSUIT. UNLESS YOU AND DEALLINK AGREE OTHERWISE, THE ARBITRATION WILL OCCUR IN U.S. ENGLISH AND TAKE PLACE IN ORANGE COUNTY, NORTH CAROLINA. PAYMENT OF ANY FEES WILL BE DECIDED BY THE APPLICABLE AAA (AMERICAN ARBITRATION ASSOCIATION) RULES.

Indemnification: You agree to indemnify, defend, and hold DealLink, its directors, officers, employees, affiliates, agents, contractors, licensors, and subsidiaries harmless from any loss, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of this Agreement, DealLink’s services, and Your use of the DealLink Website.

Termination: We reserve the right to terminate or restrict Your account and/or access to the Website for any reason, or no reason whatsoever, including, without limitation, if We, in Our sole discretion, consider Your use to be unacceptable, or in the event of any breach by You of the Terms. We may, but shall be under no obligation to, provide You a warning prior to termination or restriction of Your use of the Website. We will not be liable to You or any third party for its termination or restriction of Your account and/or access. We also reserve the right to terminate the Website or any part of the Website at any time, without notice or liability to You.

If any provision of this Agreement is found to be invalid by any court having any competent authority, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any provision in this Agreement shall be deemed a further or continuing waiver of such provision or any other provision.

Legality and Access: You are subject to all laws of Your state and country in which You reside and from which You access the Website and are solely responsible for obeying those laws. You agree that DealLink cannot be held liable if laws applicable to You restrict or prohibit Your participation. DealLink makes no representations or warranties, implicit or explicit, as to Your legal right to use the services offered on the Website nor shall any person affiliated, or claiming affiliation, with the Website have authority to make any such representations or warranties. DealLink reserves the right to monitor the location from which You access the Website and to block access from any jurisdiction in which participation is illegal or restricted.

Errors on this Website: Errors will be corrected where discovered, and DealLink reserves the right to revoke any stated offer and to correct any errors, inaccuracies, or omissions.
